RULES OF ARNSIDE SAILING CLUB


GENERAL


1. The name of the Club is Arnside Sailing Club. The burgee of the Club shall be sand coloured in the lower half and sky blue in the upper half with a representation of the Viaduct in black across the middle, horizontally.


2. The objects for which the Club is formed are to promote, facilitate and encourage the sport of sailing and social intercourse among the members.


MEMBERSHIP

 
3. Anyone who is interested in sailing shall be eligible for membership.


4. All candidates for membership shall be proposed and seconded by members of the Club. Their full name, address and occupation, and the names of the proposer and seconder, shall be communicated in writing to the Honorary Secretary, who shall cause these particulars to be exhibited prominently in the Clubhouse in a part frequented by members for a period of not less than seven days before election as members. Until the candidates are elected as members they shall not be entitled to any of the privileges of the Club.


5. Candidates for membership shall be elected by the Committee by a simple majority vote of those present and voting.


6. (a) Family members shall consist of the parents, together with their children under the age of 18.
(b) A cadet member shall be any person aged 9 years or over and under the age of 18 years. On reaching this age limit, a cadet member wishing to become a full member must submit an application for full membership duly proposed and seconded, as prescribed in Rule 4.
(c) Family members under the age of 18 years and cadet members shall not be entitled to the full amenities of the Club.
(d) A student member shall be any member over the age of 18 years who is undergoing full time education or apprenticeship.


7. Subject to Rule 4 hereof and on the recommendation of the Committee any person (whether a member of the Club or not) whom the Club wishes to honour may, at any General Meeting of the Club, be elected an honorary member of the Club, and if elected at an extraordinary General Meeting such election shall apply only until the following Annual General Meeting. A two-thirds majority of members present shall be necessary at such election. Honorary members who shall be subject to election annually shall pay neither entrance fee nor subscription. They shall be entitled to all the privileges and benefits of membership except that they shall not vote upon any question affecting the finances of the club, and shall not be qualified to serve on the committee. The total number of honorary members shall not exceed one for every twenty-five members entitled to vote at a General Meeting of the Club.


8. Any members desirous of retiring from the Club shall notify their intention to the Honorary Secretary on or before the 21st March otherwise they shall be liable for the next year’s subscription.


9. The Committee shall have power to expel any members who shall offend against the Rules of the Club or whose conduct shall in the opinion of the Committee render them unfit for membership of the Club. Before any such member is expelled the Honorary Secretary shall give that member seven days written notice to attend a meeting of the Committee and shall inform them of the complaints made against them. No members shall be expelled without first having an opportunity of appearing before the Committee and answering the complaints made against them nor unless at least two-thirds of the Committee then present vote in favour of their expulsion.


SUBSCRIPTIONS


10. (a) The annual subscription payable on election and on the 1st April in each year by individual members, family members, individual cadet members and student members shall be such amount as may be determined at any General Meeting of the Club.
(b) The subscription of any members joining on or after the 31st October shall be valid to the end of the following year.
(c) There shall be an entrance fee of such sum as the Committee may from time to time prescribe.
(d) Any members who have not paid their subscription by the 30th day of April shall be requested in the name of the Committee to pay the same within fourteen days, and if the subscription is not paid by the 14th day of May their names may be removed from the list of members by the Committee. A member’s name may be restored at the discretion of the Committee.
(e) No members shall in any year be entitled to exercise any rights or privileges of membership until their entrance fee and subscription for the year, and all arrears (if any) are paid.


OFFICERS AND COMMITTEE


11. (a) The officers of the Club shall consist of a President, Commodore, Vice Commodore, Rear Commodore, Honorary Secretary, Honorary Treasurer, Sailing Secretary and Cruising Captain who shall be elected at a General Meeting in each year to hold office until the conclusion of the next Annual General Meeting.
(b) The President shall be Chairman of the trustees and be responsible for the conduct of meetings of the trustees and liaison between the trustees and the Committee.
(c) The Commodore shall be Chairman of the Committee or in the Commodore’s absence the next senior officer as listed in Rule 11(a). The Commodore, Vice Commodore, and Rear Commodore shall be eligible for re-election each year until they have held office for three consecutive years, after which they must then retire, but if so wishing may offer themselves for election to another post.


12. (a) The Committee shall consist of the officers, ex-officio, and not more than four members of the Club elected by club members in a General Meeting and to hold office until the conclusion of the next Annual General Meeting.

(b) Candidates for election to the Committee and as officers shall be those whose nomination has been received by the Honorary Secretary 14 days before a General Meeting or Annual General
Meeting and are either:-
(i) Members of the club whose nominations have been duly proposed and seconded by other members
or
(ii) Committee members and/or eligible officers desirous of offering themselves for re-election
or
(iii) Retiring Committee members and/or officers offering themselves for election to another post.
(c) If a casual vacancy occurs, the Committee may co-opt a member to fill the vacancy until the next following Annual General Meeting but shall then be eligible for re-election.
(d) If the number of candidates duly proposed and seconded exceeds the number of vacancies to be filled the election shall be by ballot.
(e) The quorum at any Committee Meeting shall be five.


13. (a) The Committee shall manage the affairs of the Club according to the Rules and shall apply the funds of the Club to the object of the Club.
(b) At the discretion of the Committee, charges may be raised for the use of club premises, for administration and collection of dues for mooring rights, for boat parking, and for other specific purposes.
(c) The Committee shall make such by-laws, rules and regulation as they think fit as to the management of the Club and its premises.


ANNUAL GENERAL MEETING AND OTHER GENERAL MEETINGS


14. (a) An Annual General Meeting shall be held on the last Saturday in January in each year. The Honorary Secretary shall at least 30 days clear before the date of such meeting post or deliver to each member notice thereof and of the business to be brought forward thereat.


(b) No business (except the passing of the accounts for the previous financial year and the election of the Officers, Committee and Auditor, and any business that the Committee may order to be inserted in the notice convening the meeting) shall be discussed at such meeting unless notice thereof be given to Honorary Secretary 45 days prior to such meeting.


15. (a) The Committee may, on giving 14 days notice, call a general meeting of the Club for any specific business, the nature of which shall be stated in the summons convening the meeting, and the discussion at such meetings shall be confined to that business only.
(b) An extraordinary General Meeting may be convened at any time and shall be convened within. 21 days on the requisition of one-fifth of the members of the Club for the time being or 30 members whichever is the less. Such requisition must state the purpose for which such meeting is required.
(c) At a General Meeting of the Club, each member (other than family members under the age of 18 and cadet members) shall have one vote.


16. No alteration or addition to the Rules of the Club shall be made except at a General Meeting, and the proposed alterations shall be carried by a majority of at least two thirds of those present at the meeting, and the Honorary Secretary as soon as possible and in any case within 28 days of the making of such alteration or addition to the Rules, give written notice of such alteration or addition to the Chief Officer of Police and to the Clerk of the Local Authority of the district in which the Club is situated.


17. The Commodore of the Club shall preside at all meetings of the Club but if the Commodore shall not be present within fifteen minutes after the time appointed for the meeting or has signified an inability to be present at the meeting, the Senior Flag Officer present, or if no Flag Officer is present one of the members present entitled to vote shall be chosen by the members to chair the meeting.


18. At the Annual meeting in each year a qualified accountant shall be appointed as Auditor whose duty it shall be to audit the accounts of the Club for the current year. In the event that the appointed auditor is unable or unwilling to act, the Committee shall appoint a substitute.


TRUSTEES


19. (a) Four trustees shall be elected at a General Meeting of the Club to purchase the property in the name of the Club and to hold it in trust for the members of the Club according to the Rules from time to time in force and such Trustees shall remain in office until resignation from such office or removal there from by a General Meeting. One of the trustees shall be nominated as President and act as chair of the trustees as per rule 11(b).
(b) The Trustees shall in all respects act, in regard to any property of the Club held by them, in accordance with the directions of the Committee, and shall have the power to sell, lease, mortgage or pledge any Club property so held for the purpose of raising or borrowing money for the benefit of the Club in compliance with the Committee’s directions (which shall be duly recorded in the Minutes of the proceedings of the Committee) but no purchaser, lessee or mortgage shall be concerned to enquire whether any such direction has been given.
(c) The Trustees shall be effectually indemnified by the Committee out of the assets of the club from and against any liability, costs, expenses and payments whatsoever which may be properly incurred or made by them in the exercise of their duties or relation to any property of the Club invested in them, or in relation to any legal proceedings, or which otherwise relate directly or indirectly to the performance of the functions of a Trustee of the Club.
(d) To be incorporated in every contract, lease, licence or other agreement entered into by the Trustees of the Club) The liability of the Trustees for the performance of any contractual or other obligation undertaken by them on behalf of the Club shall be limited to the assets of the Club.


20. The Clubhouse shall be generally available for use by the members between the hours of 9.00 a.m. and midnight. Any other usage must be authorised by the Committee.


21. No money or property of the Club or any gain arising from the carrying on of the Club shall be applied otherwise than for the benefit of the Club as a whole or for some charitable benevolent or political purpose or purposes chosen by resolution of a General Meeting.


22. No person shall at any time be entitled to receive at the expense of the Club; nor shall any person directly or indirectly derive any pecuniary benefit from the supply of intoxicating liquor by or on behalf of the Club to members or guests apart from any benefit accruing to the Club as a whole and apart also from any benefit which a person derives indirectly by reason of supply giving rise to or contributing to a general gain from the carrying on of the Club.


23. The purchase for the Club and the supply by the Club of intoxicating liquor shall be in the absolute discretion of a sub-committee of not less than three members being members of the Committee appointed by the Committee for that purpose. In the event of any members for any reason ceasing to be members of the Committee, they shall automatically cease to be members of the Sub-committee and another member of the Committee shall be appointed in their place. Such Sub-committee shall in no way be restricted in freedom to purchase.


24. Any member shall be entitled to introduce guests to the Club provided that no person whose application for membership has been declined or who has been expelled from the Club shall be introduced as a guest. Members introducing a guest shall enter the name and address of the guest together with their own name in a book which shall be kept in the Clubhouse. No guest shall be permitted to purchase intoxicating liquor in the Club. Notwithstanding anything before mentioned intoxicating liquor may be sold or supplied during the hours specified in Rule 25 to members and non—members of the Club attending at the Clubhouse when functions are held there approved by the Club Committee provided always that
(a) Such function is a function of the registered Club;
(b) Such function is promoted by and the responsibility of a section of the Club or is a birthday party, wedding reception, or wedding anniversary celebration of a member of the Club or their partner or child and is promoted by and is the responsibility of such member who is present at the function or;
(c) Such other function not provided for by paragraph (a) or (b) which are limited to 12 functions in any one calendar year.
And provided that there should be no sale of intoxicating liquor to a non-member under the age of 18 unless they fall within the category specified by section 49(4) of the Licensing Act 1964.


25. The permitted hours for the sale of intoxicating liquor shall be those authorised by the Licensing Act 1964 and the Local Licensing Committee, and providing that there should be no sale of intoxicating liquor to anyone under the age of 18 years.


LIMITATION OF CLUB LIABILITY


26. Members, their guests and visitors are bound by the following Rule which shall also be exhibited in a prominent place within the club premises:-
Members of the club, their guests or visitors may use the club premises, and any other facilities of the club, entirely at their own risk and impliedly accept:
(a) The club will not accept any liability for any damage to or loss of property belonging to members, their guests or visitors to the club.
(b) The club will not accept any liability of personal injury arising out of the use of the club premises, and any other facilities of the club either sustained by members, their guests or visitors or caused by the said members, guests or visitors whether or not such damage or injury could have been attributed to or was occasioned by the neglect, default or negligence of any of them, the Officers, Committee or servants of the club.
